MINUTES OF A REGULAR MEETING OF THE
BOARD OF DIRECTORS
JULY 18, 2003
CALL TO ORDER. The meeting was called to order by Manager Fabian Dandaneau at 9:02 A.M.
PROOF OF NOTICE. Email and / or a phone call notified all Directors. The meeting was posted on bulletin boards throughout the Condominium.
DETERMINE A QUORUM. Present at the meeting were Vice president Chuck Mallek and Carol Gombos. Present by speakerphone were President Dave Hartman, Treasurer Bob Balderson, Secretary Jim Johnson and Dan Beaudoin a quorum was present. Owners present at the meeting were Joe Ferguson, Nancy Roknich and Natalie Newmerzhcky and Stan Gombos.
REPORT OF DOCK COMMITTEE. See attached report of Boat Dock chairman Stan Gombos. The total cost would run between $1,500.00-$2,000.00. Stan recommended that a wood top be put on and make the modifications for the future two slips. A discussion followed. Stan said a total of six pilings would have to be put in when the new slips are added. Stan mentioned that forms from the Department of Environmental Protection would have to be filled out and DEP would be the agency to approve the project as the dock is on ground rent water property. He also mentioned that the dock work could be done for about $3,000.00. Fabian said he would get a quote on replacing the inland pier, as the wood on that is pretty bad. The question was raised about permitting for the expansion of the two slips. Stan said the process would cost about $900.00 and could take up to six months to a year. Dave talked about the addition of two new slips being a change to the common elements and would have to go to the membership for approval. It was agreed than Stan would submit the forms to DEP and Fabian will set the money aside for the maintenance repairs on the dock.
REPAIRS TO POOL DECK, POOL GATES, DRYER VENTS AND ELEVATOR SUMP PUMPS.
Pool Deck. Fabian had prices for the repairs from three different sources ranging from $800.00-to $3,600.00. The $3,600.00 price from T & C includes repairing all cracks on the pool deck, skim coat, level pool deck and riser beam, and texture and seal on the pool deck. A discussion followed. The consensus was to go ahead and do the complete job. Dave raised concerns about the tiles if they need to be replaced; he didn’t want a patch job on the tiles. Fabian said if some tiles need to be replaced then they should all be replaced. The Board was in favor of going ahead with the maintenance repairs on the deck.
Pool Gates. Fabian figures that replacing the pool gates will cost about $500.00/gate and then there would be a $150.00 gate fee for lock mechanisms bringing the total to $650.00/gate. Fabian stated that the lock mechanism has to be 54" above the floor. A motion was made by Chuck Mallek to replace the pool gates with gates that will comply with the safety requirements of the Association’s Insurance Company. The gates will have a locking mechanism that will be keyed to the common key. The motion was seconded by Carol Gombos and all voted in favor of the motion. Chuck suggested that the old gates could be stored and used if the Condominium ever wanted to have the gates installed on the way to the beach.
Dryer vents. See Carol Gombos attached report. Fabian had two quotes on cleaning the vents ranging in price from $40.00-$60.00 per vent depending on the difficulty of accessing the vents. A discussion followed. It was noted that the bottom floors are not a problem as they vent to the garage area. It was agreed that the Kemps’ unit should be cleaned as soon as possible. Joe Ferguson mentioned that the vents have to be cleaned from the bottom up because the top has a vent cover on it. Carol Gombos mentioned that owners that are there year round know how to clean out the vents but many of the seasonal owners aren’t aware that they need to be cleaned on a regular basis.
Elevator Sump Pumps. Fabian and Chuck met with Sun Coast pumps recently and were told that if they were replacing any pumps they should get a Gould Pump, which Sun Coast Pumps claims is the best pump, plus they would need an inch and a quarter line for the outflow line. Fabian said Hoops electric would be out to inspect the elevator wiring next week. He will inquire about having the elevator plugs placed above the elevator floor. To replace the pumps and put in an inch and a quarter line and new electrical plugs would cost about $500.00/elevator. The issue was tabled until the Northern Directors returned.
COUNTING OF PROXIES TO MODIFY AMMENDENTS AND SURVEY REGARDING THE DATE OF THE ANNUAL MEETING. The Board appointed Nancy Roknich and Natalie Newmerzhcky to count the ballots and the annual meeting survey.
Amendments. Fifty-nine yes votes were required to pass the modified amendments. The number of yes votes was 61 voting in favor and 6 voted votes opposed. The modified amendments passed. A motion was made by Bob Balderson to accept the changes voted by the membership for the Condominium Documents. Jim Johnson seconded the motion and all voted in favor. Fabian will talk with Atty. Kevin Edwards about having the documents changes filed at the count record office.
Survey Regarding the Date of the Annual Meeting. The count for the survey showed 31 votes cast for November and 14 voted for December. Fabian will check the documents and talk with Atty. Edwards about the survey and legally what need to be done prior to changing the date of the Annual Meeting. It was agreed that the Annual Meeting for this year would remain on the last Saturday of December. Carol mentioned that the documents do not specify a specific date for the Annual Meeting. She went on to say that if the Association goes with a November date it should have a specific date i.e. the Saturday after elections.
Old Business.
BOD Minutes. The April minutes were tabled until the next BOD meeting.
Pilings on B Building. Dan Beaudoin said he has had a number of questions from owners at B building about why the two pilings were never finished. Joe Ferguson said an engineer came and said they did not need to finish the pilings. Stan mentioned the original engineers are out of business. The recollection of the group was that this had happened about five years ago. Bay South will look through old BOD minutes to see what can be found.
Ace Doors. Fabian will talk with Ace Doors to get them started on replacing the doors on the electrical rooms and the two bathroom doors. Dave recommended getting together with Ben as the electrical and the bathroom doors would have to be shorter and we would have to fill in the sump hole near the pool area. Dave mentioned that there would have to be an extensive louvered system door on the bathrooms.
Palm Trees. Dave inquired about when would they be trimmed. Fabian said they would be trimmed in August or September.
Web Site. Chuck brought up the issue of overseeing the web site. See the attached email. The Board appointed Ole Kristenssen as the webmaster and Chuck as the supervising Board member. All Board members agreed with the appointments. The web site has been approved at the January BOD Meeting.
Palm Construction and the Lanai Screens. Fabian said Palm Construction has formed the metal strips for the screens and Palm is in the process of painting the strips to match the bronze color on the lanai posts. This will be done at no cost to the owners.
New Business.
Walkways. Dan Beaudoin said the walkways are in terrible condition and asked if there was something that could be done about them. Fabian will have C & T take a look at them when they are working on the pool deck, as the walkways are another aspect of their business.
Club House. Chuck Mallek talked with builder Dwayne Najar. See attached email. Chuck will prepare a one-page attachment for the minutes regarding the discussion with the builder and the County Builder Inspector.
Owner’s Comments.
Nancy Roknich talked about people leaving things outside their doors on the walkways like shoes, towels, fishing equipment and children’s’ toys. The documents state that nothing should be left on the walkways. Nancy said the problem is mostly associated with renters. It was mentioned that if there is a problem to call Bay South. Nancy and Natalie will work on a small list that owners could post on the inside of the entrance door or the refrigerator for renters telling people about the walkways etc.
Carol Gombos said that when ballots are sent out they should be the only things going in the mailing. She also said there should be a definite date for the ballot to be returned to the Management. Company.
